Plain-language summary

  • NeuralOS is operated by Klinworks, LLC, a Delaware (USA) LLC. You must be at least 18 years old to use it.
  • Your inputs, your apps, and the code you generate are yours. We do not train models on your private data.
  • AI can be wrong: review and test every output before you use it, especially when your agents act on their own or move money.
  • Paid plans include a 14-day trial, are billed monthly or annually, and can be canceled at any time; access continues until the end of the paid period.
  • AI credits are consumed when the AI runs, do not roll over from month to month, and are non-refundable except as set out in the Refund Policy.
  • Disputes are first handled informally and then through individual arbitration, with a 30-day right to opt out. Your mandatory consumer rights are preserved.

This summary helps you understand the essentials. The full text below is what governs.

1. Acceptance of these Terms

These Terms of Service ("Terms") are a contract between you and Klinworks, LLC, a limited liability company organized in the State of Delaware, USA (file number 10704723) ("NeuralOS," "we," "us"), which operates NeuralOS at neuralos.io and its subdomains.

By creating an account, joining the waitlist, or using the Service, you accept these Terms and the documents they incorporate by reference: the Privacy Policy, the Acceptable Use Policy, the AI Policy, the Refund Policy, and the Copyright and DMCA Policy. If you do not agree, do not use the Service.

Definitions

  • Service: the NeuralOS platform, its web applications, API, agents, automations, hosting, and related features.
  • Input: any data, text, file, instruction, or prompt you provide to the Service.
  • Output: any content the AI generates from your Inputs, including code, apps, text, images, audio, video, and agent actions.
  • Customer Content: your Inputs, your Outputs, and everything you upload, generate, host, or publish with the Service.
  • Agents: the AI agents, agent teams, and automations that act on your behalf within the Service.
  • Third-Party Models: AI models operated by third parties (for example, Anthropic (Claude), OpenAI, Google (Gemini)) that the Service uses.

If an incorporated document conflicts with these Terms on an AI-related matter, these Terms prevail unless that document expressly states otherwise.

2. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live, if higher) and legally able to enter into a contract. The Service is not directed to minors, and we do not knowingly collect their data.

  • If you use the Service on behalf of an organization, you represent that you have authority to bind it to these Terms; in that case, "you" includes that organization.
  • You must provide accurate information and keep it up to date.
  • You are responsible for the security of your credentials and for all activity under your account. Notify us immediately at ceo@neuralos.io if you suspect unauthorized access.
  • Accounts created with a corporate domain may be administered or taken over by that organization's administrator, with prior notice.
  • You may not use the Service if applicable law prohibits you from doing so or if you appear on U.S. or other applicable sanctions lists.

3. The Service, the beta, and third-party services

NeuralOS is an AI platform for building and running applications, agents, and automations by conversing with AI.

Closed beta. The Service is currently offered as a closed beta, with access through a waitlist. We may decide who gets access and when, limit capacity, and change features. Features labeled "Beta," "Preview," or similar are provided as is, without a service level agreement (SLA), and may change or be withdrawn.

Evolution of the Service. We may add, change, or remove features. If we remove an essential feature of a paid plan you have purchased, we will give you reasonable advance notice and, if no equivalent alternative exists, you may cancel and request a prorated refund for the unused period.

Third-party services. The Service relies on Third-Party Models and infrastructure providers listed under Subprocessors. You may also connect your own tools (payment gateways, email, repositories, APIs). Your use of those tools is governed by their own terms; we do not control their availability and are not responsible for them.

4. The nature of AI and your duty to review

Outputs are generated by probabilistic models: they predict the most likely content and are not verified facts or professional advice. They may contain:

  • errors, "hallucinations," or false or incomplete statements;
  • bugs, security vulnerabilities, or outdated or inefficient code;
  • integration failures with third-party services or dependencies;
  • biases arising from training data.

Do not rely on any Output as your sole source of truth. You are responsible for reviewing, testing, and validating each Output before you use, publish, or deploy it. The Service is not a substitute for legal, medical, financial, tax, or any other professional advice, and we do not guarantee that the AI will build, fix, or complete an application or achieve any particular result.

Outputs may not be unique: other users with similar instructions may receive similar or identical results. Learn more in the AI Policy.

5. Your content and intellectual property

What's yours is yours. You retain all rights in your Inputs and you own the apps and code you generate with the Service. To the extent we have any rights in the Outputs, we assign them to you. This applies on all plans, free and paid.

The license you give us. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display your Customer Content only as needed to provide the Service to you, keep it secure, and comply with the law. The license ends when you delete the content or your account, except for backups during the periods stated in the termination section.

No training on your private data. We do not use your private Customer Content to train AI models. How Third-Party Models handle your data is explained in the AI Policy and the Privacy Policy.

Your representations. You represent that you have the necessary rights in your Inputs and that their use in the Service does not infringe third-party rights. We do not guarantee that Outputs are free of third-party rights: verify ownership before you exploit them. Copyright complaints are handled under the Copyright and DMCA Policy.

What's ours. The Service, its software, design, brand, documentation, and improvements are owned by Klinworks, LLC. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Feedback. If you send us suggestions, we may use them freely, with no obligation to compensate you.

6. Autonomous agents and code execution

The Service can run Agents that act autonomously on your behalf: they execute code, call APIs, send messages, or modify data. By enabling them:

  • You are bound by the actions Agents take on your behalf, which are treated as acts of an electronic agent under applicable law (for example, the U.S. UETA).
  • You are responsible for setting up permissions, limits, testing, and monitoring before allowing any execution without human review.
  • You assume the risks of autonomous execution, including unintended actions, data loss, and failures of connected services.

To the fullest extent permitted by law, we are not liable for losses arising from actions Agents take in accordance with your configuration, except for our willful misconduct or gross negligence.

7. Automations that move money

The Service lets you build automations that execute real charges, payments, or refunds through third-party gateways (for example, Stripe, Wompi, or ePayco) ("Payment Automation"). This section prevails over any other on this subject.

You use your own account. NeuralOS does not process, hold, or transmit money and is not a payment institution or money transmitter. You connect your own gateway account with your own credentials, and each charge is executed on your behalf: you are the one collecting payment. The Service only relays to the gateway the instruction you configured.

By building or enabling a Payment Automation, you agree that:

  • you are solely responsible for the timing, recipients, amounts, frequency, and lawfulness of every charge;
  • your use of the gateway is subject to its terms, fees, and compliance obligations (KYC/AML, PCI-DSS), which you must meet;
  • you must protect the credentials you connect;
  • you must test and monitor your automations before allowing charges without human review: a misconfiguration, a loop, or a duplicated list can cause unintended charges.

Safeguards without guarantee. We offer aids such as per-workspace spending caps, duplicate-charge detection, and pauses for your approval. They reduce risk but are not infallible and do not replace your oversight.

To the fullest extent permitted by law, we are not liable for charges, chargebacks, fees, or losses arising from your Payment Automations, except for our willful misconduct or gross negligence, and you will indemnify us against claims by recipients, gateways, or third parties related to the money they moved.

8. Acceptable use

You must comply with the Acceptable Use Policy. In addition, you may not:

  • use the Service or its Outputs to train or improve AI models that compete with the Service;
  • reverse engineer, decompile, or attempt to extract the source code, system prompts, weights, or data of the models;
  • scrape or use bots without written authorization, circumvent usage limits or security measures, or resell access to the Service;
  • use the Service for illegal, fraudulent, or abusive activities, or activities that infringe third-party rights;
  • upload regulated data (protected health information, full card data, government identifiers, or biometric data) without a prior written agreement with us.

We may investigate potential violations, remove content, and suspend or close accounts under the termination section.

9. Published apps, domains, and subdomains

If you publish an app built with NeuralOS for your own users:

  • you are responsible for that app toward them: you must provide your own terms and privacy policy, handle their data requests, and disclose that the app uses AI where the law requires it;
  • NeuralOS is not a party to your relationship with your end users.

Subdomains. Klinworks, LLC owns the neuralos.io domain and the *.neuralos.io subdomains. We assign you a subdomain as a license to use, not as property. We may reclaim, reassign, or suspend it with 7 days' notice, or immediately in cases of abuse, legal requirement, or security risk. For critical apps, we recommend using your own domain.

Hosting. Hosting is provided on third-party infrastructure. Unless your plan or a written agreement expressly includes an availability commitment (SLA), we do not guarantee uninterrupted operation.

10. Plans, payments, and AI credits

We offer a Free plan and paid plans (Starter, Pro, and Business). Prices, included AI credits, and the features of each plan are published on Pricing.

  • Free trial. Paid plans include a 14-day free trial, with no credit card required. You are not charged until you choose a plan and confirm a payment method.
  • Billing and renewal. Paid plans are billed in advance, monthly or annually, and renew automatically at the end of each period until you cancel. Payments are processed by Stripe; prices are stated in U.S. dollars and exclude taxes unless otherwise indicated.
  • Cancellation. You can cancel at any time from your settings. Cancellation takes effect at the end of the paid period, and you keep access until then.
  • Plan changes. Upgrades apply immediately with prorated credits; downgrades take effect in the next cycle.
  • AI credits. Credits are consumed when the AI runs, based on the effort of each operation and regardless of whether you are satisfied with the Output. Unused credits do not roll over to the next period, have no monetary value, and cannot be exchanged for cash.
  • Reasonable limits. We apply usage limits per account and per workspace and may throttle excessive or abusive use to protect the Service and other users.
  • Price changes. We will notify you of any price increase at least 30 days in advance; it will apply from your next renewal, and you may cancel before then.
  • Metering. Our usage records and those of the payment processor are authoritative, absent manifest error.

Refunds are governed by the Refund Policy.

11. Disclaimer of warranties

THE SERVICE, THE OUTPUTS, AND AGENT ACTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by law, we disclaim the warranties of merchantability, fitness for a particular purpose, non-infringement, satisfactory quality, and quiet enjoyment, and we do not warrant that the Service will be uninterrupted, secure, or error-free.

If the law of your country does not allow some of these exclusions, they will apply to the fullest extent that law permits.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF KLINWORKS, LLC FOR ANY CLAIM RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) 100 U.S. DOLLARS.

In no event will we be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, loss of data, loss of goodwill, or business interruption, even if we were advised of their possibility and even if a limited remedy fails of its essential purpose.

Exceptions. These limits do not apply to liability for death or personal injury, willful misconduct, fraud, or gross negligence, or to any other liability that the law does not allow to be limited.

These limitations are an essential element of the agreement and also benefit our affiliates, suppliers, and licensors.

13. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Klinworks, LLC, its affiliates, and licensors from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • your use of the Service or your breach of these Terms, the Acceptable Use Policy, or the law;
  • your Customer Content and the apps, agents, or automations you build or publish;
  • the infringement of third-party rights, including intellectual property and privacy rights;
  • the upload of regulated data prohibited by these Terms.

We will notify you promptly of the claim, may assume control of the defense and settlement, and you will cooperate reasonably. This section does not apply to consumers to the extent their law prevents it.

14. Suspension, termination, and inactivity

You can close your account at any time from your settings or by writing to us.

We may suspend or close your access if you breach these Terms or the Acceptable Use Policy, if the law requires us to, or if your use creates a risk or harm to NeuralOS, its users, or third parties. Except in cases of abuse, fraud, imminent risk, or legal restriction, we will notify you in advance and you may appeal the decision by writing to ceo@neuralos.io.

Inactive accounts. We may close, with prior notice, accounts without a paid plan that have been inactive for more than 12 months.

Your data. After closure, we keep Customer Content for up to 90 days so you can recover or export it, and then we delete it. Personal data is deleted within 30 days of your request, unless we must retain it for legal or security reasons. More information in the Privacy Policy.

Amounts paid. If we close your account because of your breach, there is no refund. If we close it without cause, we will refund the unused prorated portion of the paid period.

Sections that by their nature should survive (ownership, disclaimer of warranties, limitation of liability, indemnification, and disputes) will remain in effect after termination.

15. Governing law, disputes, and arbitration

PLEASE READ THIS SECTION CAREFULLY: IT AFFECTS HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED.

Governing law. These Terms are governed by the laws of the State of Delaware (USA) and the Federal Arbitration Act, without regard to their conflict-of-laws rules.

Informal resolution first. Before starting an arbitration, the claiming party will send written notice (to us, at ceo@neuralos.io) and both parties will try to resolve the dispute in good faith for 60 days.

Individual arbitration. If it is not resolved, the dispute will be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) or JAMS, before a single arbitrator, in English and, by default, by videoconference.

CLASS ACTION AND JURY WAIVER. YOU MAY BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION, AND BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.

  • Opt-out. You may reject this arbitration agreement by writing to ceo@neuralos.io within 30 days of creating your account or of any change to this section.
  • Mass arbitration. If 25 or more coordinated claimants file similar claims, they will be handled in batches.
  • Exceptions. Small claims, injunctive relief for unauthorized use of the Service, and intellectual property disputes are excluded from arbitration.
  • If the class waiver is invalid. If a court finds the class action waiver unenforceable, this entire arbitration clause will be void and the dispute will be resolved in court.

Courts. For disputes that are not arbitrated, the state and federal courts located in Wilmington, Delaware will have exclusive jurisdiction.

Time limit. Any claim must be brought within 12 months after it arises, to the extent permitted by law.

Consumers outside the U.S. Nothing in this section deprives you of the mandatory rights granted by the law of your country of residence (for example, in the European Union and the EEA, the United Kingdom, Brazil, or Colombia), including the right to go to the courts or consumer authorities where you live when that law guarantees it.

16. Changes to these Terms

We may update these Terms. The "last updated" date shows the current version; this version is effective as of October 20, 2026.

  • For material changes, we will notify you at least 30 days in advance by email or within the product.
  • If a material change is adverse to you, we may ask you to accept it expressly; if you do not accept it, you may close your account before it takes effect.
  • Changes to the arbitration agreement may be rejected within 30 days of the notice.
  • Changes required by law or for security reasons may apply immediately.

If you keep using the Service after the effective date, you accept the updated version.

17. General provisions

  • Force majeure. We are not liable for failures caused by events beyond our reasonable control, including failures of Third-Party Models or infrastructure, outages, disasters, or attacks.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is invalid, the rest remains in effect.
  • Waiver. Failure to exercise a right is not a waiver of it.
  • Notices. Formal notices are given by email: yours to ceo@neuralos.io and ours to your account email address or within the product.
  • Entire agreement. These Terms and the documents they incorporate are the entire agreement between the parties regarding the Service, unless a signed written agreement provides otherwise.
  • Language. If there is a discrepancy between language versions, the Spanish version prevails, unless the law of your country requires otherwise.
